Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Use Your Spark / Prisma dashboard application (the "Dashboard"), related websites, APIs, and features (collectively, the "Services").

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Who We Are

The Services are provided by Skybridge Solutions Ltd ("Skybridge", "we", "us", "our"). Use Your Spark and Prisma are brand/product names of Skybridge.

2. Definitions

  • "Wallet" means an address and/or wallet software (e.g., MetaMask, Bifrost) that you control.
  • "Digital Assets" means blockchain-based tokens and other cryptographic assets.
  • "Third-Party Services" means third-party blockchains, protocols, smart contracts, wallets, RPC providers, indexers, explorers, or any third-party websites/services we reference or integrate.
  • "Content" means data, text, graphics, interfaces, software, and other materials made available through the Services.

3. Eligibility

You may use the Services only if:

  • You are at least the age of majority in your jurisdiction.
  • You have the legal capacity to enter into these Terms.
  • Your use of the Services is not prohibited by applicable law.

You represent and warrant that you meet these eligibility requirements.

4. Changes to the Services or Terms

  • We may change, suspend, or discontinue any part of the Services at any time.
  • We may update these Terms from time to time. The "Effective date" will change when we do.

Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

5. Nature of the Services (Information + Non-Custodial Tools)

5.1 Informational dashboard

The Dashboard aggregates and displays information that may include (without limitation):

  • Wallet balances and token portfolios
  • Transaction and activity summaries
  • Rewards, staking, and delegation history
  • DeFi positions and DeFi activity
  • Prices, valuations, and historical price-derived values
  • Cross-chain transfer indicators

5.2 Transaction-enabled tools (non-custodial)

Certain pages may allow you to initiate blockchain transactions (for example, wrapping/unwrapping, delegating, claiming rewards, staking, or cross-chain transfers) via a Third-Party wallet and Third-Party smart contracts.

We are not a wallet provider and we are not a custodian. We do not hold, control, or have access to your private keys, seed phrases, passwords, or Digital Assets.

All transactions are:

  • Initiated and signed by you through your wallet;
  • Broadcast to the relevant network(s) by your wallet and/or Third-Party infrastructure; and
  • Executed by blockchain networks and smart contracts that we do not control.

6. Important Disclosures and Disclaimers

6.1 No financial advice

The Services are provided for informational and educational purposes only. Nothing on the Services constitutes, or should be construed as:

  • financial, investment, trading, tax, legal, or accounting advice;
  • a recommendation or endorsement of any asset, protocol, provider, strategy, or transaction; or
  • an offer, solicitation, or advice to buy or sell any Digital Asset.

You are solely responsible for your decisions, actions, and use of the Services.

6.2 Data may be inaccurate, incomplete, delayed, or misleading

The Services rely on data that may be derived from:

  • public blockchain data;
  • third-party explorers and APIs;
  • third-party RPC providers;
  • indexers and background jobs; and
  • heuristic classification and enrichment logic.

Accordingly, the information displayed may be wrong and may contain errors, omissions, interruptions, duplication, misclassification, stale values, incorrect timestamps, incorrect token metadata, incorrect pricing, and other inaccuracies.

You acknowledge and agree that:

  • The Services may not reflect your true balances, positions, liabilities, rewards, or transaction history.
  • Pricing, valuations, APR/APY, and USD conversions may be estimates and may not be reliable.
  • Data availability can vary by network and time period (including due to pruning, indexing gaps, API outages, or rate limits).

6.3 "As-is" and no warranties

THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR AVAILABILITY.

We do not warrant that the Services will be uninterrupted, secure, error-free, or free of viruses or other harmful components.

6.4 You use transaction tools at your own risk

Blockchain transactions are irreversible once confirmed.

By using the transaction-enabled features, you acknowledge and accept all risks, including without limitation:

  • smart contract vulnerabilities, exploits, bugs, and upgrades;
  • losses due to incorrect inputs, incorrect addresses, or user error;
  • slashing, lockups, and protocol-specific penalties;
  • liquidation, impermanent loss, and market volatility;
  • failed transactions, stuck transactions, and gas/fee loss;
  • chain reorganizations, halts, congestion, and forks;
  • wallet software issues and compromised devices;
  • phishing, scams, malicious tokens, and counterfeit assets.

You are solely responsible for:

  • reviewing transaction details in your wallet before signing;
  • understanding the smart contracts and protocols you interact with; and
  • determining whether any transaction is appropriate for you.

6.5 No responsibility for Third-Party Services

Third-Party Services are not controlled by us. We do not endorse, operate, or guarantee Third-Party Services.

Your interactions with Third-Party Services are solely between you and the third party.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • IN NO EVENT WILL SKYBRIDGE OR ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.
  • IN NO EVENT WILL SKYBRIDGE BE LIABLE FOR ANY LOSSES OR DAMAGES ARISING OUT OF OR RELATED TO:
    • YOUR USE OF (OR INABILITY TO USE) THE SERVICES;
    • ANY DECISIONS, ACTIONS, OR TRANSACTIONS YOU MAKE BASED ON INFORMATION PRESENTED BY THE SERVICES;
    • ANY INACCURACIES OR OMISSIONS IN CONTENT (INCLUDING REWARDS, PRICES, VALUATIONS, POSITIONS, OR ACTIVITY);
    • ANY SMART CONTRACT OR BLOCKCHAIN NETWORK FAILURES, EXPLOITS, OR ISSUES;
    • ANY WALLET FAILURES OR COMPROMISES; OR
    • ANY THIRD-PARTY SERVICES.

8. Indemnification

You agree to defend, indemnify, and hold harmless Skybridge and its affiliates, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • your use of the Services;
  • your violation of these Terms;
  • your violation of any applicable law or regulation; or
  • your interaction with any Third-Party Services.

9. Acceptable Use

You agree not to, and not to assist others to:

  • use the Services in any manner that violates applicable law;
  • attempt to gain unauthorized access to the Services or related systems;
  • interfere with or disrupt the Services, including through automated requests, scraping, or abuse that exceeds rate limits;
  • reverse engineer, decompile, or attempt to extract source code (except to the extent permitted by law);
  • transmit malware or engage in harmful activity; or
  • use the Services to facilitate fraud, phishing, or other deceptive practices.

We may implement rate limits and other controls to protect the Services.

10. Intellectual Property

The Services, including all software, interfaces, design, trademarks, and Content, are owned by Skybridge or its licensors and are protected by intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.

11. Feedback

If you provide feedback, suggestions, or ideas, you grant us the right to use them without restriction or compensation.

12. Suspension and Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or if we believe suspension is necessary to protect the Services, users, or third parties.

13. Governing Law; Dispute Resolution

These Terms are governed by the laws of the British Virgin Islands, without regard to conflict of law principles.

  • Venue: the courts located in the British Virgin Islands
  • Arbitration: we do not require arbitration; disputes will be resolved in the venue specified above

14. Miscellaneous

  • Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
  • Assignment: You may not assign these Terms without our prior written consent.
  • Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Services.
